# iolinki Commercial License

## Overview

This document outlines the commercial licensing options for **iolinki**, an IO-Link Device protocol stack.

## Scope for new quotes

The product-family scope below applies to new quotes using version
2026-10-02-indie-company-v4. Rights already granted or separately agreed remain
governed by their accepted agreement; this scope does not reduce those rights.

## Commercial packages

### Indie
**Price**: €1,399 (One-time, Royalty-Free)

**Includes**:
- Full source code access
- One agreed, named product family; unlimited manufactured units and customers within that family
- 1 year of updates and bug fixes
- Email support (48-hour response target)
- License holder: one named individual developing and distributing their own independent product family
- Product distribution rights belong to that individual; an employer or separate company requires a Company license
- Two onboarding hours: build/setup assistance, MCU/PHY wiring and callback review, and a written bring-up checklist
- Larger ports quoted separately

**Price**: €4,699 (One-time, Royalty-Free)

**Includes**:
- The same source code, documentation and reference release as Indie, with rights held by the company
- One agreed, named product family; unlimited manufactured units and customers within that family
- 1 year of updates and bug fixes
- License holder: the named legal company
- Unlimited authorized employees and contractors working on the licensed family
- Priority email support (24-hour response target)
- Quarterly technical reviews during the included first year, within the eight-hour allowance
- Eight total scoped engineering hours, including onboarding and technical reviews
- Agreed deliverables within those hours: build/configuration review, MCU/PHY callback and wiring review, a written integration checklist and findings from the agreed build/test review
- Agree the board, compiler, PHY and validation tasks before scheduling; larger ports quoted separately

## Product-family scope

A product family is the named commercial product range recorded in the agreed
quote, including variants, successors and hardware revisions within that range.
Manufactured-unit counts, customer counts and variants within the family are
unlimited and royalty-free. An unrelated product line needs a separate license.
Changing MCU or PHY within the agreed family does not invalidate the license or
require a new license; porting and hardware validation are separately scoped and
quoted. Enterprise quotes cover multiple families, subsidiaries or broader SDK
redistribution as explicitly agreed.

## Package and assistance scope

Both packages receive the same source, documentation and reference release.
Their license holders differ: Indie is issued to a named person; Company is
issued to the named legal company. Engineering hours cover the tasks and
deliverables agreed in the quote. Agree the target board, compiler, PHY, tasks and booking window before
scheduling. Larger ports and additional validation work are quoted separately.
Reproducible stack bug corrections do not consume custom engineering hours.
Build and validation evidence is published with the references.

Indie is issued to one named individual for independent development and
distribution of their own agreed product family, including when acting as a sole
trader. It does not grant product rights to an employer or a separate legal
company. Company projects use a Company license held by that legal company;
an employee's Indie license is not a substitute.

Company is held by the named legal company, with a technical contact recorded
in the quote. Authorized employees and contractors working on the licensed
family may use and modify the source without developer-seat limits. Contractors
receive access for that licensee's project; they do not receive independent reuse
or redistribution rights. Subsidiaries and other separate legal entities require
agreed additional scope. Transfer rights, upgrade credit and additional renewal
coverage are recorded in the quote.

## When do I need this commercial license?

iolinki is dual-licensed. You may always use it **free of charge under the GPLv3**
(see the LICENSE file) — including in production — **provided you comply with the
GPLv3**, i.e. any work you distribute that incorporates iolinki is also licensed
under the GPLv3 (source available).

A **commercial license is required only if you distribute a closed-source or
otherwise proprietary product** that incorporates iolinki and therefore cannot
meet the GPLv3 copyleft obligations. It grants the same code under proprietary
terms, with no copyleft requirement.

## Frequently Asked Questions

**Q: What happens after the 1-year update period?**
A: You retain perpetual rights to use the licensed version and continue shipping the agreed product family. Optional annual updates/support renewal is listed at 20% of the original license fee; coverage is recorded in the quote.

**Q: Can I use iolinki in open-source projects?**
A: Yes — free of charge under the GPLv3, including in production, as long as your
project complies with the GPLv3 (source available under a GPLv3-compatible license).
A commercial license is only needed for closed-source / proprietary products.

**Q: Do you offer volume discounts?**
A: Yes, for Enterprise arrangements or multiple product families. Contact us for details.

**Q: What payment methods do you accept?**
A: SEPA bank transfer, wire transfer, and invoicing (Net 30 for established companies).
